1. Introduction and acceptance

Welcome to Superwider Platform Oy ("Superwider," "Service Provider," "we," "us," or "our"). These Terms of Service ("Terms" or "Contract") constitute a legally binding agreement between you and Superwider governing your access to and use of the Superwider platform, website, and related software services (collectively, the "Services" or "Platform").

PLEASE READ CAREFULLY: BY CREATING AN ACCOUNT, SUBSCRIBING TO A PLAN, OR CLICKING "I AGREE," YOU AGREE TO BE BOUND BY THESE TERMS.

Privacy Notice: Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, and share your personal information.

2. Definitions

To ensure clarity, the following terms have specific meanings:

  • "Brand" or "Client" means a User (whether an individual or a corporate entity) who utilizes the Services to search for influencers, manage campaigns, or purchase advertising services.

  • "Campaign" means a specific scope of work, collaboration, or project initiated by a Client and accepted by an Influencer via the Platform.

  • "Campaign Brief" means the specific instructions, scope, deliverables, and requirements provided by the Client for a Campaign.

  • "Influencer" or "Creator" means a User who offers content creation, marketing, or promotional services to Clients via the Platform.

  • "User" means any individual or entity using the Services (includes both Brands and Influencers).

3. Accounts and subscriptions

The Platform offers various account types and subscription tiers which determine your access to software features and profile visibility.

Subscription Plans

We may offer different subscription plans (e.g., Free, Standard, Professional) as described on the Platform interface.

  • Features: The specific features, limits, and tools available to you depend on the subscription plan you select at the time of use. We reserve the right to modify the features of any plan at our discretion.

  • Visibility: Certain subscription tiers may offer enhanced visibility (e.g., public indexing on search engines), while others may limit visibility to logged-in Users only.

User Control

Regardless of your subscription tier, you retain the ability to control your profile visibility settings (e.g., "Published" vs. "Hidden") through your account dashboard, subject to the requirements of any active Campaigns you have joined.

4. Visibility & data rights

Account Accuracy

You agree to provide accurate, current, and complete information during registration and to keep it updated. You are responsible for all activities under your account.

Visibility Settings

  • Published Status: If you set your profile to "Published," its visibility (e.g., Public Web vs. Platform Only) will be determined by your active subscription plan.

  • Hidden Status: You may choose to set your status to "Hidden" at any time. When Hidden, your profile is removed from general discovery.

  • Campaign Exception: To participate in a Campaign, you must maintain a visible status as required by the Platform to facilitate collaboration.

Propagation Disclaimer

You acknowledge that updates to your visibility settings (e.g., hiding a public profile) may take time to reflect on third-party search engines (like Google) or social media caches. Superwider is not responsible for these external delays.

Marketing License

By maintaining a "Published" status, you grant Superwider a non-exclusive, royalty-free, worldwide license to use your username, profile image, and public profile data in our marketing materials and Platform directories to promote the Services and increase your visibility.

Data and Analytics

You acknowledge that financial compensations and Campaign reporting rely on data. You grant Superwider a worldwide, perpetual, royalty-free license to:

  • Access, collect, and analyze data provided by you or retrieved from your connected social media accounts.

  • Use such data to generate benchmarks, algorithms, and perform calculations (e.g., ROI, Reach).

  • Display such analytics to other Users to facilitate informed collaboration and verify Campaign performance.

5. Campaigns, content & disputes

Agreement & Roles

A binding "Campaign Agreement" is formed directly between the Client and Influencer upon acceptance of a Campaign.

  • Superwider's Role: We are not a party to this agreement but act as the administrator and technical intermediary. We retain authority to monitor compliance, manage payments, and enforce Platform rules.

  • Responsibilities: Influencers are responsible for content delivery. Clients are responsible for clear Briefs and lawful requirements.

Content Ownership

Unless transferred via a separate written agreement, content remains the Influencer's property. Clients receive the specific usage rights defined in the Campaign Brief upon payment.

Standards & Dispute Resolution

  • Adherence: Users must strictly follow the Campaign Brief and Platform rules. Failure to do so may result in forfeiture of payment or removal from the Campaign.

  • Disputes: Superwider acts as an intermediary. Clients and Influencers may report non-compliance or payment issues to Support. We will review available data to facilitate a resolution, which may include cancellation or payment adjustments.

6. Fees & payments

Billing

Subscriptions and Campaign fees are billed in accordance with the pricing and billing cycle selected by you on the Platform.

  • Auto-Renewal: Subscriptions automatically renew unless cancelled prior to the end of the current period.

  • Changes: We reserve the right to change our pricing upon reasonable notice.

Refunds & Budgets

Prepaid budgets, credits, or subscription fees are generally non-refundable unless otherwise required by law or explicitly stated in the Platform's specific cancellation policy at the time of purchase.

Non-Payment

Non-payment constitutes a material breach. We reserve the right to suspend access, set off unpaid amounts against other credits, and notify relevant counterparties of cancellations due to non-payment.

7. Termination & enforcement

Termination Rights

  • User Termination: You may stop using the Services or cancel your subscription at any time through your account settings, subject to the completion of any active Campaigns or notice periods defined in specific Campaign Briefs.

  • Superwider Termination: We may terminate or suspend your access at any time for legal, reputational, or compliance reasons.

Enforcement & Suspension

Superwider reserves the absolute right to immediately restrict, suspend, or permanently terminate your account without prior notice if we determine, in our sole discretion, that you have:

  • Violated these Terms or Campaign rules;

  • Engaged in illegal, harmful, or fraudulent behavior; or

  • Posed a risk to the Platform or its Users.

Legal Action: In addition to account termination, we reserve the right to take appropriate legal action to protect our rights and recover damages.

8. Liability and indemnification

Influencer Independence

Influencers act independently. Superwider is not liable for the acts, omissions, content, or conduct of any Influencer or Client.

Limitation of Liability

To the maximum extent permitted by law:

  • Superwider provides the Services "As Is" and "As Available."

  • We are liable only for direct damages caused by our willful misconduct or gross negligence.

  • Liability Cap: Our total liability is strictly capped at the amount paid by the Client to Superwider for the specific campaign or subscription period giving rise to the claim.

  • No Indirect Damages: We are not liable for lost profits, data loss, or reputational harm.

Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including third-party API outages or technical defects.

9. Data disclaimer

The Platform provides analytics and calculations based on data retrieved from third-party providers. We cannot guarantee the accuracy, completeness, or availability of this data and do not guarantee specific commercial results.

10. General provisions

Modifications

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the changes.

Severability

If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect.

Governing Law

These Terms are governed by the laws of Finland. Any dispute shall be settled by arbitration in Helsinki, Finland, in accordance with the rules of the Finland Chamber of Commerce.
